Company recently purchased by firm

I'm currently considering going in a new direction, as the company I'm with was just recently purchased by an investment firm, and I've already seen several changes, such as downsizing and other internal practices that don't exactly seem for the better.  They have mentioned time and again that there will be no changes taking place, but I'm keeping my resume in rotation just in case.  If an employer asks, would that be a valid reason for wanting to leave?

In your particular situation, an answer to why you want to change jobs can be:

"The company is in the beginning stages of a large restructuring and reorginizational process due to a recent company buyout which is leading to downsizing. I have been thinking for a substantial amount of time about changing my career direction and objective and believe that this is a good opportunity for me to bring my considerable skills and abilities to other areas."
